TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (“Terms”) govern your access to and use of the Gas Cert Pro software, applications, website and related services (together, the “Service”).

The Service is owned and operated by LAN Development Studios, trading as Gas Cert Pro (“we”, “us”, “our”).

By registering for, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms.

1. PURPOSE AND APPLICATION

1.1 These Terms explain our obligations as a service provider and your obligations as a customer.

1.2 These Terms apply to all use of the Service and take effect from the date access is first granted.

1.3 The Service will evolve over time based on user feedback, regulatory requirements and ongoing development.

1.4 These Terms are not intended to address every possible issue arising from use of the Service.

1.5 We reserve the right to amend these Terms at any time by publishing updated Terms on our website. Where reasonably practicable, we will notify you of material changes.

1.6 Continued use of the Service following publication of updated Terms constitutes acceptance of those changes.

2. DEFINITIONS AND INTERPRETATION

In these Terms, unless the context requires otherwise:

  • Access Fee means the subscription fee payable for use of the Service, excluding VAT and other applicable taxes.

  • Agreement means these Terms together with any documents incorporated by reference.

  • Applicable Data Protection Laws means the UK GDPR, the Data Protection Act 2018, and all other applicable data protection legislation.

  • Confidential Information means all non-public information disclosed between the parties, including information relating to the Service.

  • Customer Personal Data means personal data processed by us on your behalf in our capacity as processor.

  • Data means all data input into the Service by you or your authorised users.

  • Intellectual Property Rights means all intellectual and industrial property rights, whether registered or unregistered.

  • Invited User means any individual authorised by you to access the Service.

  • Service means the Gas Cert Pro software, applications and related services.

  • Subscriber means the individual or entity registering for the Service.

  • UK GDPR has the meaning given in the Data Protection Act 2018.

  • Website means any website operated by us in connection with the Service.

  • You / Your means the Subscriber and any Invited Users.

3. REGISTRATION AND AUTHORITY

3.1 By registering for the Service, you confirm that you have the authority to bind the business or organisation on whose behalf you are registering.

3.2 You are deemed to have accepted these Terms on behalf of any organisation for which you use the Service.

3.3 You are responsible for ensuring that all Invited Users comply with these Terms.

4. GRANT OF ACCESS AND USE

4.1 We grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Service during the applicable subscription period.

4.2 Access is limited to the features included in your selected subscription plan.

4.3 You control which users are granted access as Invited Users and their level of access.

4.4 You are responsible for all activity carried out under your account.

4.5 We are not responsible for disputes between you and any Invited Users.

5. FEES AND PAYMENT

5.1 Access Fees are payable monthly or annually in advance, as selected during registration.

5.2 Invoices must be paid within 10 days of the invoice date.

5.3 All fees are exclusive of VAT and other applicable taxes.

5.4 Failure to pay any invoice when due may result in suspension or termination of access to the Service.

5.5 No refunds are provided for any unused portion of a subscription period.

6. YOUR OBLIGATIONS

6.1 You must use the Service only for lawful business purposes.

6.2 You must:

  • Keep all login credentials secure and confidential

  • Notify us immediately of any unauthorised access

  • Ensure all Data uploaded is lawful, accurate and appropriate

6.3 You must not:

  • Attempt to breach or undermine system security

  • Interfere with the operation of the Service

  • Upload malicious, offensive or unlawful content

  • Copy, modify, reverse engineer or attempt to extract source code

7. COMMUNICATION TOOLS

7.1 Any communication tools provided through the Service must be used lawfully and appropriately.

7.2 We reserve the right to remove any communication at our discretion.

7.3 We are not responsible for user-generated communications.

8. CONFIDENTIALITY

8.1 Each party shall keep the other party’s Confidential Information confidential.

8.2 Confidentiality obligations survive termination of this Agreement.

8.3 This clause does not apply to information that:

  • Is publicly available other than through breach

  • Is lawfully received from a third party

  • Is independently developed without access to Confidential Information

9. DATA PROTECTION

9.1 Both parties shall comply with all Applicable Data Protection Laws.

9.2 We act as:

  • Controller for account, billing and operational data; and

  • Processor for Customer Personal Data entered into the Service.

9.3 Customer Personal Data is processed only on your documented instructions and to provide the Service.

9.4 We shall implement appropriate technical and organisational measures to protect personal data.

9.5 We shall notify you without undue delay upon becoming aware of a personal data breach.

9.6 You authorize us to appoint sub-processors in accordance with Applicable Data Protection Laws.

9.7 Personal data may be transferred outside the UK where lawful safeguards are in place.

9.8 Temporary logging of IP addresses may occur for security, fraud prevention and service improvement purposes.

Further details are set out in our Privacy Policy, which forms part of this Agreement.

10. INTELLECTUAL PROPERTY

10.1 All Intellectual Property Rights in the Service, Website and related materials remain our property or that of our licensors.

10.2 You retain ownership of all Data you input into the Service.

10.3 You grant us a licence to host, store, process, transmit and back-up Data for the purpose of providing the Service.

10.4 We may use anonymity and aggregated data for analytics and industry insights.

10.5 You are responsible for maintaining your own backups of Data.

11. WARRANTIES AND ACKNOWLEDGEMENTS

11.1 You warrant that:

  • You have authority to enter into this Agreement

  • The Service is used solely for business purposes

11.2 You acknowledge that:

  • The Service is provided on an “as is” basis

  • We do not guarantee uninterrupted or error-free operation

  • You are responsible for determining whether the Service meets your needs

11.3 Regulatory Compliance & Gas Safe Disclaimer

Gas Cert Pro is a digital record-keeping, certification and job-management tool only.

The Service does not:

  • Verify compliance with Gas Safe Register requirements

  • Confirm compliance with Building Regulations or applicable legislation

  • Validate inspection results, testing outcomes or appliance safety

  • Replace professional judgement, qualifications or legal responsibilities

You acknowledge and agree that you remain solely responsible for:

a. Ensuring you are appropriately trained, competent and, where required, registered with the Gas Safe Register or any other relevant regulatory body;
b. Carrying out all inspections, testing, servicing and certification correctly and in accordance with applicable laws, standards, manufacturer instructions and industry guidance;
c. Determining whether any appliance, installation or system is safe to use;
d. Ensuring that all certificates, records and information generated using the Service are accurate, complete and compliant before issue; and
e. Complying with all applicable statutory, regulatory and professional obligations.

No information, prompts, templates, calculations, default values or outputs generated by the Service constitute professional, technical, safety or regulatory advice, nor confirmation of compliance or safety.

You must not rely on the Service as a substitute for professional skill, judgement or regulatory responsibility.

12. LIMITATION OF LIABILITY

12.1 To the maximum extent permitted by law, we exclude all implied warranties.

12.2 We shall not be liable for:

  • Loss of profits

  • Loss of business

  • Loss or corruption of data

  • Indirect or consequential losses

12.3 Our total aggregate liability shall not exceed the fees paid by you in the six (6) months preceding the claim.

12.4 Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12.5 Without prejudice to the foregoing, we shall have no liability arising from reliance on the Service as evidence of regulatory compliance, safety certification or Gas Safe approval.

13. TERMINATION

13.1 Either party may terminate this Agreement at the end of a billing period.

13.2 We may suspend or terminate access immediately if:

  • Fees remain unpaid

  • You breach these Terms

  • Insolvency or similar events occur

13.3 Upon termination:

  • Access to the Service will cease

  • Outstanding fees remain payable

14. SUPPORT AND AVAILABILITY

14.1 Support is provided via the Website or email.

14.2 The Service may be temporarily unavailable for maintenance or development.

14.3 We will use reasonable endeavours to provide notice of planned downtime.

15. GENERAL

15.1 These Terms and the Privacy Policy constitute the entire agreement.

15.2 You may not assign this Agreement without our prior written consent.

15.3 This Agreement is governed by the laws of England and Wales.

15.4 The courts of England and Wales have exclusive jurisdiction.

15.5 If any provision is unenforceable, the remainder remains effective.

15.6 No third party has any rights under this Agreement.

SCHEDULE 1 – DATA PROTECTION ROLES

(Who is responsible for which data)

This Schedule explains the different roles we each have under UK data protection law when personal data is used within the Gas Cert Pro Service.

1. When LAN Development Studios acts as Data Controller

We act as the data controller where we decide why and how personal data is used.

This includes personal data relating to:

  • Your user account and login credentials

  • Your business or organisation details

  • Billing, subscription and payment information

  • Support requests and communications

  • System usage data and security monitoring

We use this data only to:

  • Provide and manage the Gas Cert Pro Service

  • Administer subscriptions and payments

  • Communicate with you about the Service

  • Provide customer support

  • Maintain the security, integrity and performance of the Service

In these situations, we are legally responsible for ensuring this data is processed lawfully, fairly and securely in accordance with Applicable Data Protection Laws.

2. When LAN Development Studios acts as Data Processor

We act as a data processor when we process personal data on your instructions as part of providing the Service.

This applies to personal data that you choose to enter into the Service relating to your own customers, clients or contacts.

In these situations:

  • You determine the purpose and legal basis for collecting and using the data

  • You remain the data controller for that data

  • We process the data only to enable the Service to operate as intended

We do not use this customer data for our own independent purposes.

SCHEDULE 2 – CUSTOMER DATA PROCESSING DETAILS

This Schedule explains how customer data entered into the Gas Cert Pro Service is processed.

1. Data Subjects

The personal data processed through the Service may relate to:

  • Your customers

  • Property owners or occupiers

  • Landlords

  • Commercial clients

2. Types of Personal Data

The Service may store personal data including, but not limited to:

  • Names

  • Addresses

  • Contact details

  • Property, appliance and installation information

  • Inspection and testing results

  • Certificates and compliance records

  • Job notes, photographs and related documentation

3. Purpose of Processing

Customer data is processed solely in order to:

  • Generate, store and manage certificates

  • Record inspections, servicing and job information

  • Maintain compliance and service records

  • Allow retrieval, review and sharing of records where you choose

4. How the Data Is Processed

Customer data is processed by the Service through:

  • Secure storage within the system

  • Allowing you to view, edit and manage records

  • Creating documents and outputs based on your inputs

  • Back-up and recovery processes to reduce the risk of data loss

  • Transmission of data only where and when you instruct (for example, exporting or emailing documents)

5. Duration of Processing

Customer data is processed:

  • For as long as you maintain an active account with the Service; and

  • In accordance with any legal, regulatory or record-keeping obligations that apply to you

6. Security Measures

We apply appropriate technical and organisational measures to protect customer data against unauthorised access, loss, alteration or misuse, in line with Applicable Data Protection Laws.
